TERMS AND CONDITIONS
- This agreement is between Relax Web Productions, LLC., ("Relax Web"), parent company of Relax Music Group, RelaxMusicGroup.com, RelaxOnline.com and RMGDigital.NET; and Customer, to provide Digital Distribution Services on the Customer's Behalf; as outlined within the pages of RelaxMusicGroup.com
- Relax Music Group shall provide Digital Distribution of your song(s) to it's Registered Programmers. Registered Programmers shall include Commercial, College, Public, Satellite, Cable and Internet broadcasters, music directors, program directors and disc jockeys. Registered Programmers can have access to your song(s) in the form of specially tagged .MP3 files, For Promotional Use Only. Registered Programmers can download your song(s) ONLY FOR THE PURPOSE OF AIRPLAY ON A BROADCAST SIGNAL or INTERNET STREAM. Registered Programmers have already agreed to limit use of said files to the aforementioned purpose, and have agreed to refrain from distributing your song(s) for any other purpose.
- By registering for RMG Digital, you agree to provide .MP3 files of your songs to our Registered Programmers For Promotional Use Only, Royalty Free. You waive all mechanical and airplay royalties to our Registered Programmers, in exchange for the Promotional Airplay they are willing to provide. Further, you waive all mechanical and airplay royalties to RMG Digital, for use of your song(s) on our own IRMG Internet Radio Stream. At time of purchase, you agree to these and all Terms and Conditions set forth herein.
- Upon completion of your order, RMG Digital guarantees that your song(s) shall be available to our Registered Programmers within 3-5 business days, and shall remain in our database for a minimum length of 360 days. You agree to extend all rights to Registered Programmers that download and provide airplay to your song(s), under this agreement, in perpetuity. Song(s) that have been in our database for 360 days or longer, may be deleted at the sole disgression of RMG Digital. (Customers that desire extended service beyond 360 days may purchase additional placement time for an additional fee, to be determined after launch date.)
- RMG Digital cannot guarantee airplay beyond our own IRMG Internet Radio Stream. You agree that RMG Digital cannot predict or determine which of it's Registered Programmers will download your music and give you airplay. Further, you agree that our basic service merely provides access to your song(s) by our database of Registered Programmers. In addition, RMG Digital does not provide tracking information for this service at time of launch. While future versions of RMG Digital will provide this capability, you agree to utilize this service as is, at time of launch.
- RMG Digital Promotion customers agree that Relax Music Group is solely representing your song(s) for the purpose of Registered Programmers to "discover" your music. RMG Digital Promotion cannot predict or guarantee which of our Registered Programmers will download your songs and play them. Our RMG Digital Promotion Service will, however, bring your files to awareness of our Registered Programmers through personal mentions by our staff of promoters, through phone calls, e-mails, text and instant messages. Tracking for our RMG Digital Promotion Service will only be provided from those Registered Programmers that confirm they have downloaded and are playing your song through this process.
- RMG Digital maintains all records of its Registered Programmers in complete confidentiality. RMG Digital screens every Registered Programmer prior to granting access to your song(s). RMG Digital is not responsible for any Registered Programmer that fails to uphold their agreement, and shall not be liable for Registered Programmers actions in such an event. Registered Programmers that breech their agreement with RMG Digital shall have their access to our database terminated.
- Customer assumes full responsibility for all content or information provided for use in our services. Relax Web reserves the right to reject, without notice, any order which, in its sole opinion, may result in a violation of applicable Federal, State, Common, or International laws or regulations. This agreement shall be governed by the laws of the State of Missouri, New York, Colorado and California. The primary forum for any disputes under this agreement shall be Boone County, Missouri.
- Relax Web, Relax Music Group, RelaxOnline.com and RMGDigital.NET and Customer, may cancel this agreement at will at any time with written notice. In the event of cancellation, your files shall be removed from our database within 3 to 5 business days of your request. However, all fees and expenses are non-refundable once your order has been completed and your files have been uploaded to our database. In the event of a scheduling conflict, or other unforseeable circumstances that prevents completion of services, unused fees shall be refunded upon written request of Customer within 90 days. Customer also agrees that all refunds are less any transaction and processing fees assigned by any third party processor, such as PayPal, if used. Customer agrees that all refunds will be processed by written request only. Customer agrees that all refund requests must be sent in writing, registered and return receipt requested, through regular mail to Relax Web, 521 S. Westminster, Fulton, MO 65251.
- Customer acknowledges that these terms and conditions are subject to change without notice. Customer's continued use of Relax Web, RelaxMusicGroup.com, RelaxOnline.com, or RMGDigital.NET services constitutes customer acceptance of these and any and all modified terms. All terms and conditions for the use of any and all services provided by RelaxMusicGroup.com are available for viewing at http://www.RelaxMusicGroup.com/rmgdterms.html and customers are encouraged to print a copy of these terms at time of ordering.
- RelaxMusicGroup.com is in no way soliciting any investment or making any offer of a recording contract. RelaxMusicGroup.com is merely acting on behalf of the client in the previously mentioned capacity. Artists assume all responsibility for their content and conduct. Relax Web, Relax Music Group and RelaxMusicGroup.com assumes no liability whatsoever on behalf of the artist. Artists will need to provide release forms and/or mechanical waivers for all songs posted to RMG Digital that contain any third-party content.
- RELAX WEB RESERVES THE RIGHT TO IMMEDIATELY TERMINATE ANY CLIENT THAT PERSONALLY, VERBALLY or PHYSICALLY ASSAULTS ANY RELAX WEB EMPLOYEE, OFFICER or OWNER, ANY AND ALL RELAX WEB SERVICES SHALL BE IMMEDIATELY TERMINATED. ANY FEES PAID FOR SAID SERVICES SHALL NOT BE SUBJECT TO ANY REFUND.
